Terms of Service
These Terms of Service (“Terms”) govern your access to and use of LiasonPay’s payment orchestration platform, websites, APIs, dashboards, and related services (the “Services”). By creating an account, clicking to accept, or using the Services, you agree to these Terms on behalf of yourself or the entity you represent.
1. The Services
LiasonPay provides software and infrastructure to help merchants connect to and route payment traffic across third-party payment service providers (“PSPs”). We are not a bank, money transmitter, or card issuer. Settlement, underwriting, and regulated payment activities are performed by licensed partners. Your relationship with each PSP remains subject to that PSP’s terms and compliance requirements.
2. Eligibility and accounts
You must provide accurate registration information and keep it current. You are responsible for safeguarding credentials and for all activity under your account. You must promptly notify us of unauthorized use. We may suspend or terminate accounts that violate these Terms or present security or legal risk.
3. Acceptable use
You will not use the Services to violate law; facilitate fraud, money laundering, or sanctions evasion; transmit malware; probe or breach our systems without authorization; scrape the Services in a way that impairs them; or process prohibited categories of business without approval. We may block transactions or integrations that violate this section or PSP rules.
4. Your data and privacy
Our collection and use of personal data is described in our Privacy Policy. You are responsible for providing any required notices to your end customers and for obtaining lawful bases where you act as controller.
5. Fees and taxes
Fees for the Services, if applicable, are set out in your order form, commercial agreement, or in-product billing. Unless stated otherwise, fees exclude taxes, which you are responsible for where required. We may change standard pricing with reasonable notice.
6. Intellectual property
We retain all rights in the Services, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription or trial. You may not reverse engineer, resell, or publicly display our proprietary materials except as permitted in writing.
7. Confidentiality
Each party may receive non-public information from the other (“Confidential Information”). The receiving party will use reasonable care to protect Confidential Information and use it only for the purpose of the Services. Exceptions include information that is public, independently developed, or rightfully received from a third party.
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OPERATION OR THAT THE SERVICES WILL MEET EVERY BUSINESS OUTCOME OR AUTHORIZATION RATE TARGET.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR, IF NO FEES APPLY, ONE HUNDRED U.S. DOLLARS). THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW.
10. Indemnity
You will defend and indemnify LiasonPay against claims arising from your use of the Services, your products or customers, your violation of these Terms, or your violation of third-party rights, except to the extent caused by our willful misconduct.
11. Suspension and termination
Either party may terminate for material breach that remains uncured after reasonable notice. We may suspend access immediately where necessary for security, legal compliance, or serious policy violations. Upon termination, your right to use the Services ceases; provisions that by nature should survive will survive.
12. Changes
We may modify these Terms by posting an updated version and updating the date above. Continued use after the effective date constitutes acceptance, except where applicable law requires additional consent.
13. Governing law
These Terms are governed by the laws designated in your enterprise agreement, or if none, by the laws of the jurisdiction in which LiasonPay’s operating entity is incorporated, excluding conflict-of-law rules. Courts in that jurisdiction have exclusive venue, subject to mandatory consumer protections where applicable.
